1. Agreement to Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "your," "User") and REDWERK DEVELOPMENT LTD ("we," "us," "our," "Company") governing your access to and use of our performance and affiliate marketing platform (the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

2. Definitions
Advertiser: A User who pays for marketing services to promote products, services, or brands through the Service.
Publisher: A User who promotes Advertiser offers through their marketing channels in exchange for commissions.
Campaign: A marketing initiative created by an Advertiser and promoted by Publishers through the Service.
Conversion: A qualifying action (e.g., sale, lead, install) tracked through the Service.
3. Eligibility
To use the Service, you must:
Be at least 18 years old
Represent a legitimate business entity with proper registration
Have the legal authority to enter into these Terms on behalf of your business
Complete our KYC/KYB verification process
Not be located in, or operating from, any sanctioned jurisdiction
4. Account Registration & Verification
4.1 Account Creation
You must provide accurate, complete, and current information during registration. You are responsible for:
- • Maintaining the confidentiality of your account credentials
- • All activities that occur under your account
- • Notifying us immediately of any unauthorized access
4.2 KYC/KYB Verification
We require Know Your Customer (KYC) and Know Your Business (KYB) verification, including:
- • Proof of identity for authorized representatives
- • Business registration documents
- • Beneficial ownership information
- • Anti-money laundering (AML) and sanctions screening
We reserve the right to suspend or terminate accounts that fail verification or provide false information.
5. Use of the Service
5.1 License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your business purposes.
5.2 Prohibited Activities
You agree NOT to:
- ✗ Engage in fraudulent activities, including click fraud, conversion fraud, or fake traffic
- ✗ Use bots, scrapers, or automated tools to access the Service
- ✗ Reverse engineer, decompile, or attempt to extract source code
- ✗ Promote illegal, harmful, or deceptive content (see Section 6)
- ✗ Violate any applicable laws, including advertising standards, consumer protection, and data protection laws
- ✗ Interfere with or disrupt the Service or servers
- ✗ Impersonate any person or entity
- ✗ Transmit viruses, malware, or harmful code
- ✗ Violate intellectual property rights
6. Prohibited Content & Verticals
The following content and verticals are strictly prohibited on our platform:
Illegal Activities
Drugs, weapons, counterfeit goods, stolen property, illegal gambling
Adult Content
Pornography, escort services, sexual content
Harmful Content
Violence, hate speech, terrorism, self-harm promotion
Deceptive Practices
Fake news, phishing, scams, misleading claims
Gaming & Gambling
Online casinos, betting, lotteries (excluding licensed operators with prior approval)
Unregulated Finance
Get-rich-quick schemes, pyramid schemes, unregistered securities

7. Payment Terms
7.1 For Advertisers
- • You agree to pay for all valid Conversions according to the agreed payout model (CPA/CPL/CPI)
- • Payments are due within the agreed payment terms (typically Net-30)
- • You may dispute Conversions within 7 days of reporting
- • Late payments may incur interest at 8% above Bank of England base rate
7.2 For Publishers
- • You will be paid for valid Conversions according to the agreed commission structure
- • Payments are processed on Net-7 or Net-14 basis after Advertiser payment clears
- • Minimum payout threshold: £100 (or equivalent)
- • You are responsible for all applicable taxes on your earnings
- • Fraudulent Conversions will result in commission reversal and potential account termination
7.3 Service Fees
We charge a platform fee on all transactions. Current fee structure is available in your account dashboard and may be updated with 30 days' notice.
8. Intellectual Property
8.1 Our IP
The Service, including all content, features, functionality, software, and trademarks, is owned by REDWERK DEVELOPMENT LTD and protected by UK and international intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
8.2 Your Content
You retain ownership of content you submit (campaigns, creatives, etc.), but grant us a worldwide, royalty-free license to use, reproduce, modify, and display such content for the purpose of providing the Service.
You represent and warrant that you own or have the necessary rights to all content you submit and that it does not infringe any third-party rights.
9. Privacy & Data Protection
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
Data Processing: When using the Service, you may process personal data of end users. You agree to:
- • Comply with UK GDPR and applicable data protection laws
- • Obtain necessary consents for tracking and marketing
- • Maintain adequate privacy policies and cookie notices
- • Not collect sensitive personal data without explicit consent

11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy or completeness of any content or data provided through the Service.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REDWERK DEVELOPMENT LTD SHALL NOT BE LIABLE FOR:
- • Any indirect, incidental, special, consequential, or punitive damages
- • Loss of profits, revenue, data, or business opportunities
- • Actions of third parties, including Publishers or Advertisers
- • Fraudulent activities by Users
Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amounts paid by you to us in the 12 months preceding the claim, or £1,000, whichever is greater.
Note: Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.
13. Indemnification
You agree to indemnify, defend, and hold harmless REDWERK DEVELOPMENT LTD, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

14.1 By You
You may terminate your account at any time by contacting us. Termination does not relieve you of payment obligations for services already rendered.
14.2 By Us
We may suspend or terminate your account immediately without notice if:
- • You breach these Terms
- • You engage in fraudulent activities
- • You fail KYC/KYB verification
- • You fail to pay amounts due
- • Required by law or regulatory authorities
14.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. Provisions regarding payment obligations, intellectual property, warranties, indemnification, limitation of liability, and dispute resolution survive termination.
15. Dispute Resolution
15.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us at lv@redwerkdev.com to attempt to resolve the dispute informally.
15.2 Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
15.3 Jurisdiction
Subject to Section 15.4, the courts of England and Wales have exclusive jurisdiction over any disputes arising from these Terms.
15.4 Arbitration (Optional)
Parties may agree to resolve disputes through binding arbitration administered by the London Court of International Arbitration (LCIA), with the arbitration seated in London and conducted in English.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.
17. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
18. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
19. Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
20. Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and REDWERK DEVELOPMENT LTD regarding the Service and supersede all prior agreements and understandings, whether written or oral.
21. Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets, with notice to you.
22. Third-Party Rights
These Terms do not confer any rights or remedies upon any person other than the parties to these Terms and their permitted successors and assigns, except as expressly stated herein. The Contracts (Rights of Third Parties) Act 1999 shall not apply to these Terms.
